Welcome to Happy Bum Co! Thanks for applying to join our affiliate program. 

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY. 

This Affiliate Program Agreement (the "Agreement") is made and entered into by and between Happy Bum Co ("Happy Bum Co" or “we" or “brand”), and you, ("you" or “Affiliate"), the party submitting an application to become a Happy Bum Co Affiliate Partner. The terms and conditions contained in this Agreement apply to your participation with ("Afffiliate Program”). By participating in the program, you agree to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorised to register as an Affiliate or participate in the Program in any manner. 

We expect all affiliates to adhere to the Happy Bum Co community tone, which prioritises kindness, friendliness, and a positive attitude. As a representative of our brand, it is essential to engage with customers and the public in a manner that reflects our values of respect and inclusivity. By maintaining this positive tone, we can ensure a harmonious experience for everyone involved with Happy Bum Co. 

To support our affiliates and enhance their visibility, Happy Bum Co may reshare content that affiliates publicly post about our brand, including social media posts, images, and videos. Resharing helps affiliates gain exposure, and we’ve seen it contribute to significant audience growth.

While we always aim to share content in a way that benefits our affiliates, we respect individual preferences. If an affiliate prefers that their content not be reshared, they may contact us at hello@happybumco.com to request an opt-out.

By participating in the Affiliate Program, affiliates acknowledge and agree that Happy Bum Co may share publicly available content related to our brand unless an opt-out request is submitted.

Approve or Rejection of the Registration

1. We reserve the right to approve or reject Any Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration. 
   
   

2. Affiliate Link and Coupon 
   
   

   1. You create your unique affiliate code when joining the program. Your Affiliate link is automatically generated and can be accessed by logging into the Affiliate portal. You can also customise this link on the portal. 

   2. It is your responsibility to share and promote your affiliate link and coupon code in order to receive commission. We do not offer backcharges if someone has ordered and not used your code or your affiliate link. 

   3. If a customer both clicks on the affiliate link and uses the affiliate coupon code, you will not receive a double commission. 

   4. You may advertise your affiliate link and coupon code on online channels such as your website.
      
      

3.  Commissions and Payment 
   
   

   1. Commission amount is dependent on order value, not including extra fees (tax, shipping cost, etc). Discounted product specials and clearance items may be non-commissionable during the promotion period. 

   2. For an Affiliate to receive a commission, you need to specify the payment details under settings in your Affiliate portal.

   3. If someone meets the criteria for using your affiliate code (first time purchaser with a spend over $99.99) they will be entitled to 10% off, and you will receive a 10% commission. 

   4. If someone clicks on your affiliate link and makes a purchase, you will earn a 10% commission regardless of the purchase amount or if they are a new or returning customer. 

   5. Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 31 days. 

   6. Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out. 

   7. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission is displayed in the Commission tab, any paid commission will be listed on the Payment tab. 

   8. Transactions that result in charge backs or refunds will not be paid out.
      
      

4. Cookie 
   
   

   1. We use a 30-day cookie to track people who have clicked on your link, so they need to be using cookies for us to track them. 

   2. The tracking day will start from the time a customer clicks on the affiliate’s link. 

   3. Within the cookie time (30 days), every order made by this customer on the Happy Bum Co website will automatically result in commissions to the affiliate. 

   4. If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
      
      

5. Termination / Removal from Referral Program 

   1. Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons: 

      1. Inappropriate advertisements (false claims, misleading hyperlinks, etc.). 

      2. Advertising on sites containing or promoting illegal activities. 

      3. Violation of intellectual property rights. 

      4. Self referrals, fraudulent transactions, suspected Affiliate fraud] 

      5. Negative or abusive behavior, including hostile language, aggressive communication, or any actions that go against our commitment to fostering a supportive and welcoming environment, will not be tolerated. 

In addition to the foregoing, Happy Bum Co reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason. If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: hello@happybumco.com.

6. Liability 

   1. Happy Bum Co will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s). 

   2. We do not make any expressed or implied warranties with respect to the Program and/or the products sold by Happy Bum Co. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
      
      

7. Term of the Agreement 
   
   

   1. The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated. 

   2. The terms and conditions of this agreement may be modified by us at any time. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account. Your continuing participation in the Program will constitute your acceptance of any change.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through hello@happybumco.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
